TORCH COLLECTIVE MEMBERSHIP AGREEMENT
Nashville's Premier Community for Innovators
1. MEMBERSHIP OVERVIEW
This Membership Agreement ("Agreement") is entered into between Torch Collective, LLC ("Torch Collective" or "Company") and the undersigned member ("Member") for membership in Nashville's premier community for founders, investors, and connectors.

2. MEMBERSHIP TERMS & PRICING
Membership Class: ☐ Founding Class I (50 members) - $149/month ☐ Founding Class II (50 members) - $199/month
☐ Rolling Admission (300+ members) - $249/month
Billing: Memberships are billed quarterly in advance. Annual memberships receive a discount.
Initiation Fee: A one-time initiation and onboarding fee equal to one month's membership dues is due upon signing this agreement and is non-refundable.
Monthly Venue Credit: Each member receives a monthly Venue Credit equal to their monthly membership fee for use in hosting (private, ticketed, etc.) events at Torch Collective. Credits do not roll over month-to-month and expire if unused.
Term: This agreement begins on _____________ and continues on a month-to-month basis until terminated by either party with 30 days written notice.

Community Standards
Members are expected to embody Torch Collective's values:
Business Focus: Genuine passion for business and entrepreneurship
Character & Approachability: Humility, active listening, knowledge sharing
Community Orientation: Helping others without expectation of return
Entrepreneurial Spirit: Initiative-taking and resilience
No Jerks/Peacocks: Professional conduct without self-promotion
4. MEMBER OBLIGATIONS
Professional Conduct: Members agree to maintain professional, respectful behavior and contribute positively to the community atmosphere.
Confidentiality: Members may encounter confidential business information and agree to maintain confidentiality of sensitive discussions and deal information shared within the community.
Payment: Monthly/quarterly fees must be paid on time. Late payments may result in access suspension.
Communications: Members consent to recieve communications in any form, including but not limited to app communication, text messaging, sms, and email.
Additional Fees: Torch Collective reserves the right to implement additional service fees, including food & beverage service fees or facility assessments, with 30 days written notice to members. Such fees will be billed separately and are in addition to monthly membership dues.
5. FACILITIES & CO-WORKING
Co-Working Access: When launched (target: September), members receive access to dedicated co-working space for up to 75 members during business hours (9am-4pm).
Guest Policy: Members may bring guests to specific networking events but co-working space is members-only.
Facility Rules: Members must follow all facility guidelines, maintain cleanliness, and respect shared spaces and equipment.
6. TERMINATION & MEMBER REMOVAL
By Member: 30 days written notice required. No refund of current billing period.
By Company: Torch Collective may terminate membership immediately for:
Violation of community standards or professional conduct
Non-payment of fees after 15-day cure period
Behavior detrimental to other members or community reputation
Management Discretion: Torch Collective management reserves the absolute right to remove any member at any time, with or without cause, in management's sole discretion. This includes situations where management determines that a member's continued participation may negatively impact the community, member experience, or Torch Collective's mission and values, even if no specific rule violation has occurred.
Removal Process: When membership is terminated by Company, Member will receive written notice and access will cease immediately. Refunds are at Company's sole discretion.
Effect of Termination: All access rights cease immediately. Member directory access and community communications end upon termination.
7. WAIVER OF LIABILITY AND RELEASE
General Release: Member, on behalf of themselves and their heirs, successors, and assigns, hereby releases, waives, discharges, and covenants not to sue Torch Collective, Craighead Holdings (as landlord), and their respective owners, members, managers, officers, employees, agents, contractors, and representatives (collectively, the "Released Parties") from any and all liability, claims, demands, actions, and causes of action whatsoever arising out of or related to any loss, damage, or injury, including death, that may be sustained by Member or Member's property while participating in any Torch Collective activities, events, or while on the premises.
Financial Losses: Member expressly acknowledges and agrees that the Released Parties are not liable or responsible for any financial losses of any kind, including but not limited to: (i) investment losses, business losses, or opportunity costs arising from investments, business deals, partnerships, or other financial arrangements made through connections or relationships formed at Torch Collective; (ii) losses resulting from advice, information, or recommendations received from other members, speakers, or participants; (iii) losses related to service providers recommended through Torch Collective's vetted directory; (iv) losses from deals shared through investment deal flow or screening opportunities; or (v) any other financial harm or economic losses connected to Member's participation in Torch Collective, regardless of whether such losses arise from the negligence, misconduct, or other actions of other members, speakers, or third parties.
Assumption of Risk: Member acknowledges and understands that participation in Torch Collective activities and use of the facilities involves inherent risks, including but not limited to risks associated with networking events, co-working activities, food and beverage service, use of shared facilities and equipment, and financial risks associated with business relationships and investment opportunities. Member voluntarily assumes all such risks and agrees to participate at their own risk.
Property Damage/Loss: Member acknowledges that the Released Parties are not responsible for any theft, loss, or damage to Member's personal property while on the premises or participating in Torch Collective activities. Member is encouraged to secure their personal belongings and obtain appropriate insurance coverage.
Indemnification: Member agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to Member's use of the facilities, participation in activities, financial losses of any kind connected to their membership, or any breach of this Agreement.
Medical Emergency: Member acknowledges that the Released Parties are not obligated to provide medical care or treatment. Member assumes all responsibility for any medical treatment that may be required and agrees to hold the Released Parties harmless from any costs associated with medical care or emergency response.
Knowing and Voluntary Execution: Member acknowledges that they have read this waiver and release, fully understand its terms, and are signing it freely and voluntarily. Member understands that by signing this Agreement, they are giving up substantial legal rights, including the right to sue the Released Parties for damages.
8. GENERAL PROVISIONS
Entire Agreement: This agreement constitutes the entire agreement between parties.
Modification: Torch Collective reserves the right to modify or amend this agreement at any time by providing 30 days written notice to members. Continued membership after the effective date of any modification constitutes acceptance of the amended terms. Members who do not agree to modifications may terminate membership with written notice prior to the effective date of changes.
Governing Law: This agreement is governed by Tennessee law.
Severability: If any provision is invalid, the remainder remains enforceable.
Assignment: Membership is non-transferable without Company consent.
